These Terms and Conditions (“Terms”) constitute a legally binding agreement between Blue Genie, the owner of Medicare (“Medicare” and/or “we”), and you as an independent individual, or on behalf of the entity you legally represent when as applicable, or whoever this application is used for (collectively, the “Service Provider”, “you”, “your” or “your”).
All references to the Terms shall include any terms, guidelines, and rules adopted/defined by Blue Genie, the owner of Medicare. By using these Services, you acknowledge and agree that Medicare will treat your use of these Services as acceptance of the Terms and that you are bound to comply with them.
These Terms govern your access to and use of the website: www.medicare-app.com, as well as any other website owned, operated, licensed, or controlled by Medicare (collectively, the “Website”), products, services or applications (“App”) provided or developed by Medicare (together, the “Services”). Further, these Terms, as amended from time to time, govern your use of any electronic services that Medicare may provide and obtain, as well as any service that requires internet access, your original Medicare account, or any other account you use to obtain electronic products or services. 1.1 Our Service consists of a technology platform that allows users of the Medicare app or website to search for and book appointments for you as an independent healthcare provider and for service providers participating in our Platform, including medical clinics, hospitals, medical personnel, laboratories,, and other health services. In other words, we allow users to easily access service providers for medical treatment.
1.2 It is essential that you understand that you are fully and exclusively responsible for providing users with the best medical treatment advice appropriate to their medical needs, and for providing the correct and effective treatment and medical advice they seek from you. We do not practice and do not intend to practice medicine, but rather we assist in establishing contact between you and users who wish to obtain medical advice and appropriate treatment. You can communicate with a large group of users who are seeking medical advice from you.
1.3 The Services are not intended for use by you if you or the entity to which you belong or the entity you represent are not lawfully authorized to practice your profession or activities. By agreeing to these Terms, you represent and warrant to Medicare that you and the entity to which you belong are legally authorized to carry out your/his professional activities and that as a physician you are certified as a specialist or consultant to be able to engage in patient services through the Medicare application.
1.4 You agree that the materials available through our Services are for informational purposes or to facilitate User activities only, and are not a substitute for professional medical advice. The information and services on the website are only provided for activities related to medical professionals and are not intended to be provided directly to patients. Medicare and its licensors and suppliers are not responsible for any violations of disclosures of the content available on the Website to any third parties, including but not limited to patients. - License
2.1 By using our Services, we hereby grant you a limited, revocable, non-exclusive, non-sublicensable right to: (i) access, download, and use our website or application for the sole purpose of using our Services, and (ii) view the information and materials submitted or available or otherwise located on our content and its use.
2.2 This license is not intended to be sub-assigned, sold, rented, leased, exported, imported, distributed, transferred, or otherwise granted to third parties.

You may not use the intellectual property rights of others without the express written permission of the third party, except as permitted by law.
- Service provider registration and passwords
4.1 To receive Provider Features related to the Services, you must register with Medicare and create an account by following the online registration process on the Website. Your account allows you to access services and processes that we may establish and manage from time to time and at our sole discretion. By creating the account, you must provide Medicare with accurate and complete information as set out on the registration form. You must notify Medicare immediately if this information changes. If you do not provide or update this information, Medicare may in its sole discretion terminate your right to use the Application or the Services.
4.2 If you are dealing with Medicare for the first time and have duly entered your details, please contact Medicare to open an account for your practice, to use our Services, you must sign a (“Service Provider Agreement”) where you undertake to legally comply with these Terms and download our Mobile App In addition, you must provide permits, certificates, and licenses certifying that you are duly authorized to practice medicine, along with your personal information (as well as your “file”) to Medicare. You hereby grant Medicare the exclusive, transferable, sub-licensable, and without Any fee, permanent and irrevocable fee for the use, reproduction, publication, translation, sublicensing, copying, modification, deletion, development, distribution, and inclusion of the same file on our platform.
4.3 When you open your account, you will be asked to choose a password. You must keep your password confidential, and under no circumstances should you respond to a request for your password, especially if the request is from an individual claiming to be a Medicare employee. Medicare employees will never ask for your password. You must notify Medicare if you receive such a request.
4.4 You are responsible for any use of your password and account, including without limitation any use by an unauthorized third party. You must notify Medicare immediately if you suspect that an unauthorized person or entity has obtained, accessed, or used your password or account. Furthermore, you must notify Medicare immediately if you become aware of any breach or attempted breach of application security.
4.5 You are responsible for any activity using your account, whether or not you authorized such activity. You acknowledge that if you wish to protect the transmission of your data or files to Medicare, you are responsible for using a secure encrypted connection to obtain and use the Services.
4.6 We have taken commercially reasonable technical and organizational measures designed to protect the security of your personal information against accidental loss and unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized third parties will not be able to breach these measures or use your personal information for illegal purposes. You acknowledge that you provide your personal information at your own risk.
4.7 You should take into account the following:

7.1 By using our Services, you provide us with information, files, and folders that you provide to Medicare (collectively, your “Profile”). By posting, storing, or transmitting any Content on or to the Application, including by submitting Provider-generated Content on the Website, you agree to grant Medicare or represent or warrant that the owner of such content has expressly granted Medicare a right and an exclusive, transferable, sub-licensable, fee-free, perpetual, irrevocable license to use, reproduce, publish, translate, sublicense, copy, modify, delete, develop and publish such content to include the same content on the Medicare platform, including This includes, but is not limited to, the Medicare website. Such listing includes processing of content, including but not limited to products, features, thumbnails or document previews, or design choices we make to technically manage our Services, for example how we frequently back up data to protect its security. You grant us the permissions we need to perform all of the above actions for the sole and exclusive purpose of providing and developing the Services. 7.2 You acknowledge that Medicare’s use of Content on the Medicare Platform does not constitute an infringement of your intellectual property rights, copyrights, or trademarks. Medicare acknowledges obtaining your prior consent to disclose any content on any platforms other than the Medicare platform. If a user refuses to consent to such disclosure, such refusal prevents Medicare from disclosing the content. You retain full ownership of your file or the format in which it is created. by Medicare as Provider Generated Content.
7.3 You understand and agree that the relationship between you and Medicare is a management agreement for the collection, acquisition, acquisition, transfer, processing, merger, and migration of data and that you have provided such data to Medicare for this purpose. Notwithstanding the rare exceptions we describe in our Privacy Policy, and no matter how often the Services change, we do not share your Content with law enforcement authorities for any purpose, unless you instruct us to do so. 8.1 Medicare Generated Content includes all materials available on the Application through the Services, including but not limited to logos, design, text, and graphics, as well as their selection, arrangement, and organization. Content also includes Medicare product names, logos, designs, and designations.
8.2 Furthermore, all Medicare-generated content covers all page headers, custom-designed graphics, icons, text, trademarks, or trade dress of Medicare. If you use such content, it must include the appropriate personalization. All other trademarks, trade names, etc. that appear on the Application are the property of Blue Genie. You may not use any of the trademarks, trade dress, trade names, or any confusingly similar marks, dress, or names without the express, prior written consent of Medicare or the Owning Company.
8.3 You may choose or we may invite you to provide comments, testimonials, feedback, suggestions, ideas, and other opinions about the Services, including without limitation how to develop the Services or our products (“Ideas”). By submitting an Idea, you represent that your disclosure of the Idea is free and unsolicited, will not place Medicare under any fiduciary and other related obligations, and that Medicare may disclose the Idea on a non-confidential basis to any person or third party This is for using the ideas without paying you any additional compensation. Disclosure, submission, or offer of any Ideas constitutes a perpetual, royalty-free, worldwide, irrevocable license, title, and interest in and to all patent, copyright, trademark, and all other intellectual property and other rights relating to the Ideas of whatever nature, and a waiver of any claim based upon Moral rights, unfair competition, and any other legal basis. You do not have to provide any ideas to us if you do not wish to license these rights to us. You are and will be solely responsible for the content of any Ideas you create. - Your responsibilities

You may not use the Services, either directly or indirectly, to engage in any unfair, misleading, or anti-competitive practices, or to otherwise violate applicable customer protection, competition, or antitrust laws or regulations.
9.4 Medicare provides accessible services on various machines and devices, including but not limited to certain mobile phones and computers that will be made available. Medicare is not responsible for providing the required equipment or telecommunications facilities, ie Internet access or telecommunications service. - Refunds
10.1 Fees paid by you are final and non-refundable unless Medicare decides otherwise.
10.2 Refunds will be made through the same payment method, if applicable.
10.3 Medicare reserves the right to refund any amounts to Users’ account for use in other services at its sole discretion.
10.4 Refunds are not applicable if the user is not satisfied with the medical service provided.
10.5 The User is entitled to a full refund of the amount paid by him in the following cases:
10.5.1 if the user cancels the booking before the booking time;
10.5.2 If the Service Provider cancels the reservation, or does not attend the appointment for which the User paid the fees. - User confidentiality
11.1 We consider the privacy and confidentiality of the personal data of our users as sacred. However, we understand the nature of the service you provide and the importance and necessity for you to identify certain personal information.
11.2 Therefore, we hereby provide you with access to data deemed necessary for the implementation of your services, in particular user names, phone numbers, and email addresses. However, the right to access the data is exercised for the sole purpose of furthering internal operations and not for promotional purposes.

12.3 Our Platform may contain links to third-party websites, advertisements, or services that are not owned by Medicare. You acknowledge and agree that such content may be subject to different terms of use and privacy policies than Medicare’s terms of use and privacy policies. Therefore, these Terms do not apply to you when obtaining or using third-party services. If you access third-party websites from our services, you do so at your own risk, and you agree to release Medicare from all liability arising from such use. - REPRESENTATIONS AND WARRANTIES
13.1 You represent and warrant to Medicare that: (i) you have full authority to enter into and perform the obligations under these Terms; (ii) your acceptance of, and performance of, your obligations under these Terms does not constitute a breach of or conflict with any other legal obligations, agreements, arrangements, or any applicable laws, regulations, or rules, or any court rulings or decisions that you are bound to enforce ; (iii) these Terms constitute legal, valid and binding obligations to you and are deemed to be in effect in accordance with the Terms and Conditions; (iv) you shall not infringe the copyright, trademark, trade secret, right of publicity or any other intellectual property right of any third party while using the Website or the Services, or the privacy right of your customers/patients; (v) you undertake to comply with all applicable laws, regulations and rules in connection with your use of the Services and the Website, including these Terms; (6) that you are a physician duly qualified in your areas of practice. - Disclaimer of Warranty
14.1 You agree that you are solely responsible for your use of the Application. Medicare and its officers, directors, employees, agents, and shareholders disclaim all warranties, express or implied, in connection with the Services and your use thereof.
14.2 To the fullest extent permitted by law, Medicare does not warrant, endorse, or assume responsibility for any products or services advertised or provided by third parties through the Services or hyperlinked services displayed in any banners or other advertising medium, and that “ Medicare shall not be a party to, or otherwise responsible for, the monitoring of any transactions between you and any third party. - LIMITATIONS OF LIABILITY
15.1 You agree that you are responsible for providing the User with accurate and professional medical treatment by qualified and highly skilled healthcare providers.
15.2 Accordingly, Medicare shall not, under any circumstances, be liable for either the User’s dissatisfaction with the advice and medical examination carried out by you or their dissatisfaction with their experience with you in general.
15.3 In no event shall Medicare or its officers, directors, employees or agents be liable to you for any direct, indirect, incidental, special, punitive or consequential damages whatsoever arising out of or resulting from or in connection with (a) any errors, omissions or inaccuracies in content, (b) any damages or personal injury of any nature that results from your access to or use of our Services, (c) unauthorized access to or use of our secure servers, and/or all personal information, and/or financial information stored on those servers, (o) any interruption or cessation of transmission to and from our Services, (u) any malware, computer virus, Trojan horse, etc. that may be transmitted to our Service or through any third party, (f) any errors or omissions in any Content, or any losses or damages incurred as a result of your use of any Content posted, emailed, transmitted or otherwise made available through the Services, whether based on any warranty , or contract, or liability or any other legal theory, and whether or not the Blue Genie company that owns the application has been removed regarding the possibility of such damages. 15.4 YOU EXPRESSLY ACKNOWLEDGE THAT MEDICARE IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL ACCEPTANCE OF THIRD PARTIES AND THAT THE RISK OR DAMAGES FROM THE FOREGOING ACTIONS RESERVE ENTIRELY WITH YOU.
15.5 In addition, Medicare provides and operates the Services from its facilities. Medicare makes no representation that the Service is appropriate or available for use in other locations. Persons who obtain or use the Service from other locations do so at their own risk and are responsible for compliance with local law. - Compensation
16.1 You agree, to the extent permitted by applicable law, to defend, indemnify and hold harmless Medicare and its representatives, officers, directors, employees, agents and shareholders (the “Indemnified Parties”) from and against any damages, losses, costs or expenses (including without limitation (not limited to attorneys’ fees and costs) incurred in connection with any claims, demands or actions brought or instituted against any of the indemnifying parties arising from or related to: (i) your access to and use of the Services; (ii) your breach of any provision of these Terms; (iii) alleging facts or circumstances that constitute a violation by you of any provision of these Terms, including violations of law or allegations of infringement of privacy, publicity, or intellectual property rights relating to UGC that you provide or Content generated by Medicare; (iv) arising out of or relating to your use of the Website or Services which constitutes a violation of any third party rights, including without limitation any copyright, proprietary right, or right of privacy; (5) Third party use of and access to the Services through the use of your user name, password, or any other secret code.
16.2 If you are liable to pay damages under this provision, Medicare may, in its absolute and exclusive discretion, control the disposition of any claim at your expense. Without prejudice to the foregoing, you may not settle, mediate, or otherwise dispose of any claim without Medicare’s prior written consent.
16.3 You represent and warrant that you will defend, defend, indemnify, and hold harmless Medicare and its officers and employees from and against all claims, injuries, damages, losses, or legal actions, including attorneys’ fees, arising out of, arising out of, or related to any fraudulent, deceptive, misleading, fraudulent or fraudulent acts or It is generally considered illegal if you commit it for whatever reason.

17.1 Medicare shall not be liable for failure to fulfill its obligations under these Terms in the event of any event beyond its reasonable control, including but not limited to fire, terrorist acts, natural disasters, wars, interruptions, labor disruptions, internet or communications outages, interruption of service, or failure of a Medicare provider to fulfill its obligations. - Termination and annulment
18.1 Medicare may, in its sole discretion and for any reason, terminate your Account or your access to the Application or the Services, without any liability to you or any third party. Such reasons may include, but are not limited to (i) your violation of any part of these Terms; (ii) your violation of the rights of others; (iii) your credit card is not valid, your credit card limit is exceeded, or you “incur” any fees or other payments; (4) Your Service Provider’s account has been inactive for a long period.
18.2 Effect of Account Termination: If your Account is terminated, Medicare may in its sole and absolute discretion delete any locations, files, graphics, or other content or materials relating to your use of the Website or Services that are available on servers owned or operated by Medicare or otherwise considered to be in its possession. another way and Medicare has no responsibility to do so to you or any third party. After account termination, you will not be permitted to use the Website or Services. If your account or access to the Website or Services is terminated, Medicare reserves the right to use any means it deems necessary to prevent unauthorized access to the Website or Services, including but not limited to technical barriers and IP address redirection. and direct communication with your internet service provider. If your account is terminated, you must immediately pay any fees you owe to Medicare, regardless of whether you have the right to access or use the Website or the Services.
18.3 Medicare has the right to terminate the account due to refusal to receive emergency requests from patients for several 4 times per calendar month, as well as in the event of refusal to access the Medicare network for less than 10 days per calendar month. - Miscellaneous Provisions
19.1 These Terms constitute the entire agreement and understanding between you and Medicare regarding the use of the Application and supersede any prior and contemporaneous agreements and understandings between you and Medicare regarding the subject matter of the Agreement. These Terms are binding on each party and their authorized successors and assigns. The failure or delay of either party to exercise any right, power, or privilege contemplated in these Terms shall not be deemed a waiver of it, nor shall any exercise in whole or in part of any right, power, or privilege preclude the other from further exercise thereof or the exercise of any right or power or other privilege provided for in these Terms.
19.2 You and Medicare are independent contractors. In no way will your relationship with Medicare constitute an agency, partnership, joint venture, or employee-employer relationship.
19.3 The invalidity or unenforceability of any of the provisions of these Terms shall not affect the validity or enforceability of any other provisions of these Terms, and all provisions shall be deemed valid and enforceable.
19.4 These Terms and Conditions have been agreed upon and the Contract is drawn up in Arabic, and the Contract and Conditions are drawn up in identical copies; An original copy was given to each party to act upon. Or this contract is approved by agreement (clicking) on the terms and conditions attached to the electronic version of the application, and an original paper copy is not required, and the electronic copy replaces the paper copy.
19.5 Medicare reserves the right to update, change, or amend these Terms at any time and for any reason, by posting the amended version on the Application so that the revised Terms apply to all Medicare services, and become effective immediately after being published on the Application. In other words, the service that is provided to you is subject to the terms existing on the date the service is provided. Your acceptance of the Terms as amended shall be deemed your continued access to and use of the Application and the Services contained therein as of the effective date of such modification. - The governing law and jurisdiction
20.1 These Terms shall be governed by and construed by the laws of Egypt. Any dispute arising out of or related to the interpretation and/or performance of this Agreement shall be finally settled by arbitration before the Cairo Regional Center for International Commercial Arbitration (the “Centre”) by the Center’s laws in force at the time of the dispute. The arbitral tribunal consists of one arbitrator. As an exception to the foregoing, Medicare reserves the right to exercise its discretion to initiate proceedings in a court whose jurisdiction extends to the Provider. - The governing law and jurisdiction
20.1 These Terms shall be governed by and construed by the laws of Egypt. Any dispute arising out of or related to the interpretation and/or performance of this Agreement shall be finally settled by arbitration before the Cairo Regional Center for International Commercial Arbitration (the “Centre”) by the Center’s laws in force at the time of the dispute. The arbitral tribunal consists of one arbitrator. As an exception to the foregoing, Medicare reserves the right to exercise its discretion to initiate proceedings in a court whose jurisdiction extends to the Provider.
